Terms of Service

These terms govern your use of Sovergate (sovergate.com and app.sovergate.com). By creating an account, you agree to these terms.

1. The service

Sovergate provides AI compliance logging infrastructure for companies subject to the EU AI Act and GDPR. The service includes:

  • An SDK for observing LLM calls made by your applications
  • A dashboard for viewing and managing compliance logs
  • Automated Article 12 compliance report generation
  • PII scrubbing before log transmission

2. Your account

You must provide accurate information when creating an account. You are responsible for maintaining the security of your account credentials and API keys.

You must be at least 18 years old to create an account. If you are creating an account on behalf of an organisation, you confirm you have authority to bind that organisation to these terms.

One person or legal entity may not maintain more than one free account.

3. Acceptable use

You may use Sovergate only for lawful purposes and in accordance with these terms. You must not:

  • Use the service to log AI systems used for prohibited purposes under the EU AI Act (Article 5)
  • Attempt to reverse engineer, decompile, or extract the source code of the Sovergate platform
  • Use the service to store personal data in violation of GDPR
  • Resell or sublicense access to the service
  • Use the service in any way that could damage, disable, or impair our infrastructure
  • Attempt to gain unauthorised access to any part of the service

4. Free trial and subscription

Free trial

New accounts receive a 14-day free trial with full access to the Growth plan features. No credit card is required to start a trial.

Subscription

After the trial, continued use requires a paid subscription. Subscriptions are billed monthly or annually in advance.

Payment

We accept major credit cards and SEPA direct debit. All prices are in EUR and include VAT where applicable.

Cancellation

You can cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. We do not offer refunds for partial periods.

Price changes

We will give you at least 30 days notice before changing subscription prices.

5. Your data

Your compliance logs

The AI system logs generated by your use of Sovergate belong to you. You can export them at any time in CSV format. We do not claim any ownership over your log data.

Data processing

By using the Sovergate SDK, you instruct us to process log data on your behalf as a data processor under GDPR. Our Data Processing Agreement (DPA), available at sovergate.com/dpa, governs this processing. The DPA is incorporated into these terms by reference.

Data on deletion

When you delete your account, we delete all your data within 30 days. We provide a deletion certificate on request. Billing records are retained for 7 years as required by EU law.

6. Availability and support

We aim for 99.9% monthly uptime for the log ingestion endpoint — the critical path for your compliance logging. We will notify you at least 24 hours before planned maintenance that affects the service.

7. Intellectual property

The Sovergate platform, dashboard, and documentation are owned by Sovergate and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable licence to use the service as described in these terms.

Our open source SDKs are licensed under the terms stated in their respective repositories.

8. Confidentiality

Each party agrees to keep the other's confidential information confidential and not to disclose it to third parties without prior written consent.

Confidential information does not include information that:

  • Is or becomes publicly available through no fault of the receiving party
  • Was already known to the receiving party
  • Is independently developed without use of confidential information

9. Limitation of liability

To the maximum extent permitted by applicable law, Sovergate's total liability for any claims arising from these terms or your use of the service is limited to the amount you paid us in the 12 months preceding the claim.

We are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity.

Nothing in these terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

10. Warranties and disclaimers

We warrant that:

  • The service will perform materially as described
  • We will implement reasonable security measures
  • We will process your data in accordance with the DPA

We do not warrant that:

  • The service will be uninterrupted or error-free
  • The service will meet your specific regulatory requirements without your own legal review
  • Sovergate's Article 12 reports constitute legal compliance advice — you remain responsible for your own compliance

11. Compliance responsibility

Sovergate provides tools to assist with EU AI Act compliance. We do not provide legal advice. You remain solely responsible for determining whether the EU AI Act applies to your AI systems, what obligations apply to you, and whether your compliance programme satisfies your legal obligations. We strongly recommend consulting a qualified lawyer regarding your specific compliance requirements.

12. Termination

By you

You can cancel your account at any time from account settings.

By us

We may suspend or terminate your account immediately if:

  • You materially breach these terms and fail to remedy the breach within 14 days of notice
  • You use the service for prohibited or illegal purposes
  • Required by law

We will give you 30 days notice for termination for any other reason.

On termination, your access to the service ceases. Your data export remains available for 30 days after termination.

13. Changes to these terms

We will notify you by email at least 30 days before making material changes to these terms. Continued use after the effective date constitutes acceptance of the new terms. If you do not agree, you may cancel your account before the effective date.

14. Governing law and disputes

These terms are governed by the laws of the European Union and the laws of Germany, without regard to conflict of law principles.

Any dispute arising from these terms shall first be attempted to be resolved amicably within 30 days of written notice. If not resolved, disputes shall be subject to the exclusive jurisdiction of the courts of Germany.

If you are a consumer in the EU, you may also use the EU Online Dispute Resolution platform at ec.europa.eu/odr.

15. General

Entire agreement

These terms, together with the Privacy Policy and DPA, constitute the entire agreement between you and Sovergate regarding the service.

Severability

If any provision of these terms is found unenforceable, the remaining provisions continue in full force.

No waiver

Our failure to enforce any provision does not constitute a waiver of our right to enforce it in the future.

Assignment

You may not assign your rights under these terms without our consent. We may assign our rights in connection with a merger, acquisition, or sale of assets.
